REMAC Central - Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and REMAC Enterprises, Ltd. ("REMAC", "we", "our", or "us") governing your use of the REMAC Central mobile application ("the App").
1. Acceptance of Terms
By downloading, installing, accessing, or using REMAC Central, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.
These Terms supplement and incorporate by reference our Privacy Policy, REMAC Central Privacy Policy, and Acceptable Use Policy.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the App after any changes constitutes your acceptance of the revised Terms.
2. Description of Service
REMAC Central is a mobile application designed for transportation and logistics operations. The App provides the following functionality:
- Load Management: View, track, and update assigned loads and shipments
- Document Capture: Scan and photograph Bills of Lading (BOLs), Proof of Delivery (PODs), and other shipping documents
- Work Status Tracking: Clock in/out and track work status (On Duty, Driving, On Break, Off Duty)
- Team Communication: Send and receive messages with dispatchers, warehouse staff, and other team members
- Photo Documentation: Capture and upload photos of cargo, deliveries, and inspections
- Location Services: Optional GPS tracking for route verification and delivery confirmation
The App is intended for use by employees, contractors, and authorized personnel of organizations that have service agreements with REMAC Enterprises.
3. User Accounts
3.1 Account Creation
To use REMAC Central, you must create an account or be provided with credentials by your employer. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Use only accounts that you are authorized to access
3.2 Password Security
You are responsible for maintaining the confidentiality and security of your account credentials. You agree to:
- Keep your password confidential and not share it with others
- Use a strong, unique password for your account
- Notify REMAC immediately of any unauthorized access or security breach
- Log out of your account when not in use, especially on shared devices
You are solely responsible for all activities that occur under your account. REMAC is not liable for any loss or damage arising from unauthorized use of your account.
3.3 Account Termination
REMAC reserves the right to suspend or terminate your account at any time for:
- Violation of these Terms or any REMAC policies
- Request by your employer or authorized administrator
- Fraudulent, abusive, or illegal activities
- Extended inactivity or non-use
- At REMAC's sole discretion with or without cause
Upon termination, your right to use the App ceases immediately. You may request deletion of your personal data in accordance with our Data Deletion Policy.
4. Acceptable Use
4.1 Permitted Uses
You may use REMAC Central only for:
- Legitimate work-related activities within your job responsibilities
- Capturing and uploading documents and photos related to loads and deliveries
- Communicating with authorized team members about work matters
- Tracking your work status and time as required by your employer
- Accessing information about loads and shipments assigned to you
4.2 Prohibited Uses
You agree NOT to:
- Use the App for any unlawful purpose or in violation of any laws
- Share your account credentials with unauthorized persons
- Attempt to access accounts, systems, or data you are not authorized to access
- Upload content that is defamatory, obscene, threatening, or violates others' rights
- Transmit viruses, malware, or other harmful code
- Interfere with or disrupt the App's operation or servers
- Reverse engineer, decompile, or disassemble the App
- Use automated systems, bots, or scrapers to access the App
- Falsify work records, location data, or other information
- Use the messaging feature for harassment, spam, or non-work communications
- Circumvent security measures or access restrictions
- Copy, modify, or distribute any part of the App without authorization
4.3 User Responsibilities
As a user, you are responsible for:
- Ensuring all information you provide is accurate and complete
- Using the App in compliance with your employer's policies
- Protecting confidential business information
- Reporting any technical issues or security concerns to REMAC
- Keeping your device and App updated to the latest version
5. Intellectual Property
5.1 App Ownership
REMAC Central, including its code, design, features, content, graphics, and documentation, is owned by REMAC Enterprises, Ltd. and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for its intended purpose and in accordance with these Terms. This license does not grant you any ownership rights in the App.
5.2 User Content
You retain ownership of photos, documents, and other content you upload through the App ("User Content"). However, by uploading User Content, you grant REMAC a worldwide, non-exclusive, royalty-free license to:
- Store, process, and display User Content as necessary to provide the App's services
- Share User Content with your employer and authorized personnel
- Retain User Content for compliance and audit purposes
You represent that you have the right to upload all User Content and that your content does not infringe on any third party's rights.
5.3 Trademarks
"REMAC", "REMAC Central", "REMAC Enterprises", and related logos are trademarks of REMAC Enterprises, Ltd. You may not use these trademarks without our prior written permission.
6. Disclaimers
6.1 "As Is" Service
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
6.2 No Warranty
REMAC does not warrant that:
- The App will be uninterrupted, timely, secure, or error-free
- The results obtained from the App will be accurate or reliable
- Any errors in the App will be corrected
- The App is free from viruses or other harmful components
6.3 Third-Party Services
The App integrates with third-party services (Auth0, AWS, Firebase, etc.). REMAC is not responsible for the availability, accuracy, or content of these third-party services and does not endorse any third-party content or services.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMAC ENTERPRISES, LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data, documents, or information
- Business interruption or downtime
- Costs of procuring substitute services
- Unauthorized access to or alteration of your data
- Any other intangible losses
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF REMAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL REMAC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APP EXCEED THE AMOUNT YOU PAID TO REMAC FOR USE OF THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
8. Indemnification
You agree to indemnify, defend, and hold harmless REMAC Enterprises, Ltd., its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the App
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your User Content
- Your infringement of any third party's rights
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts.
10. Dispute Resolution
Before initiating any legal action, you agree to first contact REMAC at legal@remacenterprises.com to attempt to resolve the dispute informally. If the dispute cannot be resolved within 30 days, either party may proceed with legal action.
11. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
12. Entire Agreement
These Terms, together with the Privacy Policy, REMAC Central Privacy Policy, and any other policies referenced herein, constitute the entire agreement between you and REMAC regarding your use of the App and supersede all prior agreements, understandings, and communications.
13. Waiver
The failure of REMAC to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. No waiver shall be effective unless made in writing and signed by REMAC.
14. Changes to Terms
REMAC reserves the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the revised Terms on our website
- Updating the "Last Updated" date
- Providing notice through the App or via email for significant changes
Your continued use of the App after any changes constitutes your acceptance of the revised Terms.
