Acceptable Use Policy

Subscriber acknowledges and agrees that the provision of services to Subscriber by REMAC ENTERPRISES LTD ("REMAC"), and Subscriber's acceptance and use of REMAC's services, constitute Subscriber's acceptance of and agreement to the terms and conditions of this document — REMAC's Acceptable Use Policy ("REMAC's AUP") — and that REMAC's AUP is an integral part of, and is incorporated by reference into, the Terms Of Service ("TOS") Agreement by and between REMAC and Subscriber.

REMAC may amend REMAC's AUP from time to time by posting it at https://www.remacenterprises.com/legal/acceptable-use-policy, and Subscriber's use of REMAC's services after REMAC posts any such changes on its website shall constitute Subscriber's acceptance of any/all such amendments.

VIOLATIONS:

Doing, causing or allowing (whether by act or omission) any of the following, and/or any direct or indirect aiding or abetting of any person or entity to do, cause or allow (whether by act or omission) any of the following, is considered a violation of REMAC's AUP and of the TOS Agreement between REMAC and Subscriber:

1. Illegal Activities:

Using REMAC's services for illegal purposes or in support of illegal activities, including, but not limited to, transmitting (by email, uploading, posting or otherwise) or distributing, downloading, copying, caching, hosting or storing data, information or content which, in REMAC's sole determination, constitutes a violation of any relevant law, regulation, ordinance or court order. Subscriber shall be responsible for determining what laws, regulations, ordinances and court orders are applicable to its use of REMAC's services;

2. Threats:

Using REMAC's services to transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any material that threatens or encourages bodily harm, destruction of property or any other type of harm;

3. Harassment:

Using REMAC's services to transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any material that harasses or stalks another;

4. Harmful:

Using REMAC's services to transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any material that is harmful, abusive, defamatory or libelous;

5. Violation of Duty:

Using REMAC's services to transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any material in violation of any duty under any law (including court order), contract or any fiduciary relationship;

6. Forgery or Impersonation:

Using REMAC's services to impersonate any person or entity, including, but not limited to, a REMAC official, or to falsely state or otherwise misrepresent Subscriber's/Subscriber's Sub-User's affiliation with a person or entity, or to create or use a false identity; engaging in activities designed to forge, alter or delete message headers, return addresses or other email/network identifiers (including, but not limited to, source addresses, reply to addresses, sender information and Message-IDs);

7. Fraud:

Using REMAC's services in furtherance of or involving any fraudulent activity or fraudulent purpose, or to make any fraudulent offers to sell or buy products, items or services, or to advance any type of financial scam including, but not limited to, pyramid schemes, chain letters or any other financial scam; using REMAC's services to effect a misrepresentation or misleading statement, writing or activity;

8. SPAM / Unsolicited Commercial Email (UCE) / Unsolicited Bulk Email (UBE):

Using REMAC's services to: transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any spam, UCE or UBE; operate mailing lists, listservs or mailing services that target an audience that has not voluntarily signed up for email information using a double opt-in process or that has not made their email addresses available to Subscriber for distribution of information; effect spamming via third-party proxy, aggregation of proxy lists or installation of proxy mailing software; accept and process third-party messages for sending without user identification and authentication; host, or permit hosting of, web pages, sites or information advertised within SPAM, UCE or UBE from another network (such as spamvertising); violate the CAN-SPAM Act of 2003 (Controlling the Assault of Non-Solicited Pornography and Marketing Act), establishing requirements for sending certain types of commercial mail.

9. Infringement on Intellectual Property Rights:

Using REMAC's services to transmit (by email, uploading, posting or otherwise), distribute, download, copy, cache, host or store on a server any information, data, content, material or work that infringes any copyright, trademark, service mark, patent, trade secret any or other intellectual property right(s) of any person or entity;

10. Collection of Personal Data:

Using REMAC's services to collect, or to attempt to collect, personal information about third parties without the third party's(ies') knowledge or consent;

11. Unfriendly Activity:

Subscriber's/ Subscriber's Sub-User's (as defined in the TOS Agreement) allowance of others to use its/their network, or permitting its/their network to be configured in such a way that affords a third party the capability to use its/their network, in an illegal, inappropriate or unfriendly manner; causing or initiating security breaches or disruptions of network communication or connectivity; executing any form of activity that intercepts data not intended for Subscriber's/ Subscriber's Sub-User's server(s); evading or circumventing user authentication or security of any host, network or account; engaging in any conduct designed to avoid restrictions or access limits to specific services, hosts or networks; probing, scanning or testing, or attempting to probe, scan or test, the vulnerability of a system or network without proper authorization; breaching or attempting to breach security or authentication measures without proper authorization; taking any action in order to obtain, or attempting to obtain, services to which such Subscriber/ Subscriber's Sub-User is not entitled;

12. Distribution of Unwanted Software:

Using REMAC's services to effect the intentional distribution of software or computer code, files or programs that causes, or attempts to cause, damage, harassment or annoyance to persons, entities, data and/or computer systems;

13. Inappropriate Use of Software:

Using REMAC services to employ software or any device that would facilitate a continued connection (such as pinging) or would negatively affect a person's or entity's ability to engage in real time exchanges;

14. IRC Networks:

Running IRC on REMAC's standard network. IRC is allowed only on REMAC's separate IRC network.;

15. IP Addresses:

Using IP addresses that were not assigned to it by REMAC;

16. Support to Terrorists:

Using REMAC services to provide support or resources (including concealing or disguising the nature, location, source, or ownership of support or resources) to any organization designated by the U.S. government as a terrorist organization pursuant Section 219 of the Immigration and Nationality Act;

17. Gambling:

Using REMAC services for or to promote gambling that is or may be prohibited or restricted by any state or federal gambling laws or regulations;

18. Harm to Minors / Child Pornography:

Harm to Minors / Child Pornography: Using REMAC services to harm minors in any way or transmitting (by email, uploading, posting or otherwise), distributing, downloading, copying, caching, hosting or storing on a server any child pornography as defined by U.S. law. Adult content is allowed; and

19. Violation of Security:

Violating or attempting to violate the security of REMAC's systems.

VOICE AND TELEPHONY SERVICES

The following additional rules apply to Subscriber's use of REMAC's voice, telephony, SIP trunking, and related calling Services. Subscriber shall not, and shall not permit any User to:

A. Abnormal Calling Volumes or Patterns:

Generate call traffic that is significantly in excess of Subscriber's expected or historical traffic volumes, inconsistent with Subscriber's stated or published business description or intended use of the Services, or inconsistent with normal business use, particularly where such activity could reasonably be expected to, or in fact does, provoke complaints;

B. Repetitive, Continuous, or Automated Calling:

Engage in repetitive, continuous, or automated calling — including the use of autodialers, predictive dialers, or similar equipment — where such activity could reasonably be expected to, or in fact does, provoke complaints, or that results in a high proportion of unanswered, abandoned, failed, or very short-duration calls;

C. Long Duration Calls:

Place calls to the same number in excess of four (4) continuous or cumulative hours within any twenty-four (24) hour period;

D. Calls to Generate Charges:

Place calls for the purpose of generating, inflating, or sharing in charges, fees, revenue, or other compensation for or with any third party, including, without limitation, traffic pumping, access stimulation, or international revenue share fraud;

E. Caller Identification Integrity:

Transmit inaccurate, false, or misleading caller identification (caller ID, ANI, or CNAM) information, or otherwise spoof or disguise the origin of a call in violation of applicable law;

F. Consent and Opt-Out:

Place telemarketing, marketing, or other non-emergency calls without first obtaining all legally required consent from the recipient, or fail to promptly honor any do-not-call or opt-out request, in violation of the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, or other applicable law.

G. Number Cycling, Pooling, or Hoarding:

Acquire or request telephone numbers in excess of those reasonably necessary for Subscriber's legitimate use, or pool, rotate, cycle, or otherwise use telephone numbers in a manner intended to obscure the identity of a caller or sender, evade filtering or blocking, or avoid the detection of fraudulent or inappropriate traffic;

H. Toll-Free Misuse:

Use a toll-free number to originate outbound calls, or use any toll-free number or toll-free service for any disallowed, fraudulent, or otherwise improper calls;

I. Excessive Call Duration and Early Media:

Place any single call that exceeds twenty-four (24) hours in duration, or use early media (audio transmitted before a call is answered) in an abusive or excessive manner or for longer than sixty (60) seconds.

Call Quality Standards:

Subscriber must maintain commercially reasonable calling patterns and call quality. Without limitation, Subscriber must maintain an Answer-Seizure Ratio (ASR) greater than fifty percent (50%) and an average call duration greater than sixty (60) seconds, and short-duration calls (calls of less than six (6) seconds) must not exceed fifteen percent (15%) of Subscriber's total calls. If Subscriber exceeds these thresholds, REMAC may apply surcharges (including any short-duration-call or related surcharges passed through from its underlying carriers, as described in the VoIP Terms of Service), throttle, filter, or block the affected traffic, and/or suspend the Services.

MESSAGING SERVICES

The following additional rules apply to Subscriber's use of REMAC's text messaging Services (SMS, MMS, and application-to-person (A2P) messaging). These rules supplement the email rules in Section 8 above and reflect applicable carrier and industry requirements (including the CTIA Messaging Principles and Best Practices). Subscriber shall not, and shall not permit any User to:

A. Send Messages Without Consent:

Send messages to any recipient who has not provided prior express consent to receive them. Consent must be obtained directly from the recipient on a one-to-one basis, must be specific to text messaging, may not be purchased, sold, shared, or transferred, may not be implied, and may not be buried within other terms and conditions;

B. Fail to Honor Opt-Out or Help Requests:

Fail to clearly offer, and promptly honor, opt-out requests using standard keywords (including STOP, END, UNSUBSCRIBE, and CANCEL), or fail to respond to HELP requests with sender identity and support information;

C. Send Unregistered or Non-Compliant Traffic:

Send A2P or 10DLC messaging traffic without first completing all required brand and campaign registration (including registration with The Campaign Registry). Unregistered, misregistered, or non-compliant traffic may be filtered, blocked, throttled, or subjected to additional carrier surcharges, all of which are Subscriber's responsibility;

D. Send Prohibited Content:

Send messages containing or promoting content prohibited by carriers or law, including content related to sex or adult material, hate or violence, alcohol, firearms, tobacco, cannabis or CBD, controlled substances, phishing, or fraud (commonly referred to as "SHAFT" content). Unless expressly authorized in writing by REMAC, Subscriber may not send messaging for high-risk or prohibited campaign types, including loans, credit repair, debt relief, debt collection, debt consolidation, work-from-home or multi-level-marketing offers, or third-party lead generation;

E. Engage in Prohibited Messaging Practices:

Engage in messaging practices prohibited by carriers or industry guidelines, including unsolicited bulk messaging or spam, "snowshoeing" (spreading similar traffic across many numbers to evade filtering), grey-routing (sending A2P traffic over person-to-person routes), unauthorized number replacement, URL cloaking, or the use of free or public URL shorteners (such as bit.ly);

F. Exceed Volume or Throughput Limits:

Exceed the message volume or throughput limits applicable to Subscriber's numbers or campaigns, or send traffic in a manner that violates carrier filtering, anti-spam, or messaging policies.

Subscriber acknowledges that carriers and REMAC actively monitor messaging traffic and may filter, block, or suspend non-compliant traffic, and that carrier fees and surcharges arising from non-compliant traffic are Subscriber's responsibility.

YOUR USERS AND DOWNSTREAM CUSTOMERS

Subscriber is responsible for all use of the services by, and all acts and omissions of, its employees, agents, customers, end users, and any other person who accesses the services through Subscriber (collectively, "Users" or "Sub-users"). A violation of this AUP by any User shall be deemed a violation by Subscriber. Where Subscriber resells or otherwise makes the services available to its own end users, Subscriber shall bind those end users to terms that are at least as protective as this AUP and the TOS Agreement and shall enforce those terms. It is Subscriber's obligation to maintain and enforce these provisions against all of its Users and Sub-users, to maintain its own abuse/postmaster contact addresses for reporting abuse, and to promptly and appropriately respond to all reports sent to those addresses.

REMEDIES

In addition to any other rights and remedies available to it under the TOS Agreement, at law, or in equity, REMAC may, with or without prior notice and in its sole discretion, take any of the following actions in response to a violation or suspected violation of this AUP, or to protect the integrity, security, or availability of its network and services: (i) suspend, restrict, throttle, filter, block, reroute, or terminate all or any part of the services; (ii) charge Subscriber any applicable rates, fees, or cancellation or termination charges, and pass through to Subscriber any third-party fees or surcharges arising from the activity (as described in the VoIP Terms of Service); (iii) recover from Subscriber the reasonable administrative costs of identifying offenders and of restricting or terminating access; (iv) disclose information to, cooperate with, and refer matters to law enforcement, regulators, carriers, or other authorities or affected parties; and (v) pursue any available legal remedy. REMAC's failure to enforce any provision of this AUP shall not be deemed a waiver of its right to do so.
