REMAC Signature Add-in - Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and REMAC Enterprises, Ltd. ("REMAC", "we", "our", or "us") governing your use of the REMAC Signature add-in for Microsoft Outlook ("the Add-in").
1. Acceptance of Terms
By installing, accessing, or using the Add-in, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the Add-in.
These Terms supplement and incorporate by reference our general Privacy Policy, the REMAC Signature Privacy Policy, our general Terms of Service, and our Acceptable Use Policy.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Add-in after any changes constitutes your acceptance of the revised Terms.
2. Description of Service
REMAC Signature is a Microsoft Outlook add-in that automatically applies the email signature you have configured in REMAC CRM (https://crm.onremac.com) to outgoing Outlook messages. Specifically, the Add-in:
- Applies your CRM-managed signature when you open a new compose window
- Re-applies the correct signature when you switch the From address mid-compose
- Clears the previously inserted signature when the new From address has no configured signature
- Provides a taskpane for signing in and out of your REMAC CRM account
Use of the Add-in requires an active REMAC CRM subscription and is intended for business users of REMAC's services.
3. User Accounts
3.1 Account Requirements
To use the Add-in, you must have an active REMAC CRM user account provisioned by your organization. You agree to:
- Use only credentials that you are authorized to use
- Provide accurate, current, and complete information when signing in
- Keep your CRM signature content accurate and lawful
3.2 Credential Security
You are responsible for maintaining the confidentiality of your REMAC CRM credentials and the security of the bearer token stored by the Add-in on your device. You agree to:
- Keep your password confidential and not share it with others
- Sign out of the Add-in on shared or public devices when you finish using them
- Notify REMAC immediately of any unauthorized access or security breach
You are solely responsible for all activities that occur under your account. REMAC is not liable for any loss or damage arising from unauthorized use of your account.
3.3 Account Termination
REMAC reserves the right to suspend or terminate your access to the Add-in at any time for:
- Violation of these Terms or any REMAC policies
- Request by your organization's authorized administrator
- Termination of your REMAC CRM subscription
- Fraudulent, abusive, or illegal activities
- At REMAC's sole discretion with or without cause
Upon termination, your right to use the Add-in ceases immediately. You may also remove the Add-in at any time from Outlook to stop using it.
4. Acceptable Use
4.1 Permitted Uses
You may use the Add-in only for:
- Applying signatures to legitimate business email you send from your Outlook account
- Managing signatures for mailboxes you are authorized to send from
4.2 Prohibited Uses
You agree NOT to:
- Use the Add-in for any unlawful purpose or in violation of any applicable laws
- Use the Add-in to send spam, phishing, or other deceptive communications
- Use signatures that contain defamatory, fraudulent, or infringing content
- Use signatures to impersonate another person or organization without authorization
- Share your account credentials or bearer token with unauthorized persons
- Attempt to access REMAC CRM accounts, signatures, or data you are not authorized to access
- Reverse engineer, decompile, or disassemble the Add-in
- Tamper with the Add-in's code, network calls, or stored tokens
- Use automated systems to call the REMAC CRM signature API outside of normal Add-in usage
- Circumvent security measures or access restrictions
- Copy, modify, or distribute the Add-in or its manifest without authorization
4.3 User Responsibilities
As a user, you are responsible for:
- The content of any signature you create or apply through the Add-in
- Using the Add-in in compliance with your organization's policies and applicable law
- Reporting any technical issues or security concerns to REMAC
- Keeping Outlook and the Add-in updated to the latest version
5. Intellectual Property
5.1 Add-in Ownership
The Add-in, including its code, manifest, design, features, content, graphics, and documentation, is owned by REMAC Enterprises, Ltd. and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Add-in solely for its intended purpose and in accordance with these Terms. This license does not grant you any ownership rights in the Add-in.
5.2 User Content
You retain ownership of any signature content you create in REMAC CRM ("User Content"). By using the Add-in, you grant REMAC a worldwide, non-exclusive, royalty-free license to:
- Store, process, and transmit User Content as necessary to deliver signatures to your Outlook compose window
- Cache or replicate User Content within REMAC's infrastructure for reliability and performance
You represent that you have the right to use all User Content and that your signatures do not infringe on any third party's rights.
5.3 Trademarks
"REMAC", "REMAC Signature", "REMAC CRM", "REMAC Enterprises", and related logos are trademarks of REMAC Enterprises, Ltd. You may not use these trademarks without our prior written permission. "Microsoft", "Outlook", and related marks are the property of Microsoft Corporation.
6. Third-Party Platforms
The Add-in runs inside Microsoft Outlook and may be distributed through the Microsoft Marketplace or the Microsoft 365 admin center. Your use of Microsoft Outlook, Microsoft 365, and the Microsoft Marketplace is governed by Microsoft's own terms and privacy policies. REMAC is not responsible for the availability, performance, or behavior of Microsoft's services.
7. Disclaimers
7.1 "As Is" Service
THE ADD-IN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
7.2 No Warranty
REMAC does not warrant that:
- The Add-in will be uninterrupted, timely, secure, or error-free
- Signatures will always be applied (Outlook compose events depend on Microsoft's platform behavior)
- Any errors in the Add-in will be corrected
- The Add-in is free from viruses or other harmful components
7.3 Third-Party Services
The Add-in depends on third-party services, including Microsoft 365 / Office.js, Vercel, and MongoDB Atlas. REMAC is not responsible for the availability or behavior of these third-party services and does not endorse any third-party content.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMAC ENTERPRISES, LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or messages
- Email being sent with an incorrect, missing, or duplicated signature
- Business interruption or downtime
- Costs of procuring substitute services
- Unauthorized access to or alteration of your data
- Any other intangible losses
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE ADD-IN, EVEN IF REMAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL REMAC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE ADD-IN EXCEED THE AMOUNT YOU PAID TO REMAC FOR THE ADD-IN AND THE ASSOCIATED CRM SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify, defend, and hold harmless REMAC Enterprises, Ltd., its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Add-in
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- The content of your signatures or other User Content
- Your infringement of any third party's rights
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Add-in shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts.
11. Dispute Resolution
Before initiating any legal action, you agree to first contact REMAC at legal@remacenterprises.com to attempt to resolve the dispute informally. If the dispute cannot be resolved within 30 days, either party may proceed with legal action.
12. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, together with the general Privacy Policy, the REMAC Signature Privacy Policy, the general Terms of Service, and any other policies referenced herein, constitute the entire agreement between you and REMAC regarding your use of the Add-in and supersede all prior agreements, understandings, and communications.
14. Waiver
The failure of REMAC to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. No waiver shall be effective unless made in writing and signed by REMAC.
15. Changes to Terms
REMAC reserves the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the revised Terms on our website
- Updating the "Last Updated" date
- Providing notice through REMAC CRM or via email for significant changes
Your continued use of the Add-in after any changes constitutes your acceptance of the revised Terms.
